Terms of Service

These Terms of Service ("Terms") govern the access to and use of the GapFiller web application and related services (collectively, "Service") provided by Blank S.r.l.s., an Italian private limited liability company with registered office in Sant'Ilario d'Enza (RE), Italy, VAT no./C.F. 02960770358 ("Blank", "we", "us", "our"). By creating an account, accessing, or using the Service, you ("User", "you") accept and agree to be bound by these Terms and our Privacy Policy. If you do not agree, do not use the Service.

1. Definitions

Application: the SaaS platform branded "GapFiller".

Content: any text, files, data, information, graphics, or other material uploaded, generated, or made available through the Service.

Subscription: a paid plan (monthly or annual) granting access to premium features.

Trial: a free period granting temporary access to premium features without payment.

2. Eligibility and Account Registration

You must be at least 18 years old—or the legal age of majority in your jurisdiction— to create an account. Users under 18 may use the Service only with the consent of a parent or legal guardian.

When you create an account, you must provide accurate, complete, and current information and keep it updated.

You are responsible for safeguarding your login credentials and all activities occurring under your account.

3. Subscription Plans, Trial, and Payments

Plans. We offer: (a) Free Plan; (b) Pro Plan at €7 per month; (c) Pro Annual Plan at €70 per year (equivalent to ~2 months free); (d) Faculty Plan for institutions, subject to a separate agreement.

Free Trial. New Users may activate a 15‑day Trial of Pro features. No credit card is required to start the Trial. At the end of the Trial, access automatically reverts to the Free Plan unless you subscribe.

Purchase & Renewal. Paid Subscriptions are billed in advance on a recurring basis (monthly or annually) via our third‑party payment processor. Subscriptions renew automatically until cancelled.

Billing Information. You must provide valid payment details (credit/debit card) and authorize us to charge all applicable fees and taxes. Prices include VAT unless stated otherwise.

Cancellation. You may cancel at any time from your account settings. Cancellations take effect at the end of the current billing period; no refunds are issued for partially used periods except as required by law.

Right of Withdrawal (EU Consumers). If you are a consumer resident in the European Union, you have the right to withdraw from a distance contract within 14 days after purchase. By subscribing, you request immediate performance of the Service; therefore, if you exercise the right of withdrawal after service performance has begun, you must pay for the proportion of services already provided as per Article 59, letter o) of Italian Consumer Code (Legislative Decree 206/2005).

Price Changes. We may change prices at any time with at least 30 days' notice. Continued use after the effective date constitutes acceptance.

4. Licence and Acceptable Use

Subject to these Terms and your payment of applicable fees, we grant you a limited, non‑exclusive, non‑transferable, revocable licence to access and use the Service for your internal educational or administrative purposes.

You agree not to:

Reverse engineer, decompile, or attempt to derive the source code;
Use the Service to upload or distribute malicious code or unlawful Content;
Interfere with or disrupt the Service or its security‑related features;
Use the Service to infringe intellectual property or other rights of third parties.

5. User Content

You retain all rights to Content you upload. You grant Blank a worldwide, non‑exclusive licence to host, process, and display such Content solely to provide the Service.

You represent that you have all necessary rights to the Content and that it does not violate any law or the rights of others.

6. Intellectual Property

The Service, including all software, designs, and trademarks, is and remains the exclusive property of Blank and its licensors. No rights are granted except as expressly set out in these Terms.

7. Privacy and Data Protection

We process personal data in accordance with Regulation (EU) 2016/679 ("GDPR") and the Italian Data Protection Code (Legislative Decree 101/2018). Details are provided in our Privacy Policy.

8. Third‑Party Services

The Service integrates third‑party services (e.g., Google Calendar, payment processors). Use of such services is subject to the respective providers' terms. Blank is not responsible for third‑party services.

9. Availability and Support

We endeavour to keep the Service available 24/7, excluding reasonable maintenance. We provide support via email during business hours (CET). Outages and maintenance windows will be announced when practicable.

10. Warranty Disclaimer

The Service is provided "as is" and "as available". To the fullest extent permitted by law, Blank disclaims all warranties, express or implied, including fitness for a particular purpose, accuracy, and non‑infringement.

11. Limitation of Liability

To the maximum extent permitted by law, Blank, its directors, employees, or agents shall not be liable for indirect, incidental, special, consequential, or punitive damages, or loss of profits or data, arising out of or related to the use of the Service, even if advised of the possibility. Blank's aggregate liability shall not exceed the amount paid by you to Blank in the 12 months preceding the event giving rise to liability.

12. Indemnification

You agree to indemnify and hold harmless Blank and its affiliates from any claim, damage, or expense arising from your breach of these Terms or misuse of the Service.

13. Suspension and Termination

We may suspend or terminate your access if you breach these Terms or applicable law. Upon termination, your licence ends, and you must cease use. We may delete your Content after a reasonable period.

14. Amendments

We may amend these Terms by posting an updated version and indicating the effective date. Material changes will be notified at least 30 days in advance. Continued use after that date constitutes acceptance.

15. Governing Law and Jurisdiction

These Terms are governed by Italian law. Any dispute shall be subject to the exclusive jurisdiction of the Court of Reggio Emilia, without prejudice to mandatory consumer protections and the option for EU consumers to use the ODR platform.

16. Miscellaneous

If any provision is held unenforceable, the remaining provisions remain in effect. Our failure to enforce a right is not a waiver. You may not assign these Terms without our prior written consent. We may assign these Terms in connection with a merger, acquisition, or sale of assets.
